This Licensing Agreement (“Agreement”) sets forth the terms under which risingsys.com (“we,” “our,” or “us”) grants you (“Licensee,” “you,” or “your”) the right to use our software products, services, and related materials (“Software”). By installing, accessing, or using our Software, you agree to comply with and be bound by this Agreement. If you do not agree, you must not use our Software.
1. Grant of License
Subject to your compliance with this Agreement, risingsys.com grants you a limited, non-exclusive, non-transferable, revocable license to use the Software solely for your internal business purposes or personal use, depending on the license type you have purchased or been granted.
2. License Types
- Single-User License: Permits installation on one device for use by one individual.
- Multi-User License: Permits installation on multiple devices for use by authorized users within your organization.
- Enterprise License: Customized licensing terms for large organizations as agreed in a separate written contract.
3. Restrictions
You agree not to:
- Reverse engineer, decompile, or disassemble the Software.
- Modify, adapt, or create derivative works from the Software.
- Rent, lease, sublicense, sell, or otherwise transfer rights to the Software without prior written consent.
- Remove or alter any proprietary notices or labels.
4. Ownership
The Software is licensed, not sold. risingsys.com retains all rights, title, and interest in and to the Software, including all intellectual property rights, whether registered or unregistered, worldwide.
5. Open Source Components
Some components of the Software may be governed by open-source licenses. In such cases, those licenses will override the terms of this Agreement for the specific components.
6. Updates and Maintenance
risingsys.com may provide updates, bug fixes, and enhancements at its sole discretion. Such updates will be subject to the terms of this Agreement unless accompanied by a separate license.
7. Termination
This Agreement is effective until terminated. We may terminate it immediately without notice if you breach any provision. Upon termination, you must immediately stop using the Software and destroy all copies in your possession.
8. Disclaimer of Warranties
The Software is provided “as is” without any warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of Liability
To the fullest extent permitted by law, risingsys.com shall not be liable for any indirect, incidental, or consequential damages arising out of the use or inability to use the Software.
10. Governing Law
This Agreement is governed by and construed in accordance with the laws of Bangladesh, without regard to its conflict of law provisions.
